Terms of Service

Stucly (the “Service”) is owned and operated by Kiwa Intel Inc., an Ontario corporation (“Kiwa Intel”, “we”, “us”, “our”). These Terms are a legal agreement governing your access to the Stucly website, web application, installable app, and related services. By creating an account or using the Service, you agree to these Terms.

1. The Service

Stucly is a software subscription that helps people plan and price construction and home-improvement projects. It supports retailer searches, AI-assisted estimates, saved projects, client quotes, and expense tracking. It is software, not a marketplace: we do not sell goods, hold inventory, process retailer transactions, or earn retailer commissions.

2. Eligibility and accounts

You must be at least 13 and legally able to enter this agreement. You are responsible for activity under your account, keeping credentials secure, and promptly reporting suspected unauthorized access to support@kiwaintel.com. We may suspend accounts used contrary to these Terms.

3. Subscriptions, billing, and cancellation

The Service offers a limited free tier and a Pro plan billed monthly in Canadian dollars. Current terms appear on the pricing page. Lemon Squeezy is our merchant of record and handles card data, invoicing, and taxes; Stucly does not store full card details. Pro renews automatically until cancelled. Cancellation takes effect at the end of the current billing period. We offer a full refund of the most recent charge when requested within 14 days, except where different rights apply by law. We may change pricing or quotas with at least 14 days’ notice.

4. Free tier

The free tier is provided as-is and its quotas may change. We may pause or discontinue it with reasonable notice. Long-inactive accounts may be deactivated after an opportunity to export data.

5. Acceptable use

You must not bulk-scrape or redistribute Service data, resell outputs, bypass billing or security controls, reverse-engineer the Service except where law permits, upload harmful or unlawful content, infringe rights, train a competing product with Service output, or present Stucly data in a misleading way.

6. Your content and data

You retain ownership of content you provide. You grant Kiwa Intel a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display it only to operate and improve the Service for you. We do not sell your content or use it to train third-party generative-AI models. See the Privacy Policy for details.

7. Retailer data and pricing accuracy

Prices, availability, descriptions, and stock signals come from third-party public websites and can be stale, regional, or wrong. Always confirm with the retailer before buying. Kiwa Intel is not responsible for retailer errors or fulfilment and is not affiliated with or endorsed by the retailers shown. Their names and logos belong to their owners.

8. AI-generated output

AI-generated descriptions, quantities, and materials lists are starting points, not guarantees. They may be incomplete or unsuitable for your project, jurisdiction, code, or safety requirements. You must review them and make your own decisions. Stucly is not a substitute for a qualified contractor, designer, or engineer.

9. Intellectual property

The Service, Stucly and Kiwa Intel names and logos, software, design, and documentation belong to Kiwa Intel and are protected by law. While you comply with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence for personal or internal business use.

10. Service availability

We do not guarantee uninterrupted access. The Service depends on third parties that can fail or change. We may maintain, update, or pause features without notice. No formal uptime service-level agreement applies to Free or Pro.

11. Termination and suspension

You may stop using the Service and delete your account through profile settings. We may suspend or terminate for a material breach, abusive use, or legal risk, normally after notice and an opportunity to cure when reasonable. Provisions intended by nature to survive termination remain effective.

12. Disclaimers

The Service is provided “as is” and “as available”, without express or implied warranties including merchantability, fitness for a purpose, non-infringement, accuracy, uninterrupted operation, or freedom from errors. Rights that cannot legally be excluded remain unaffected.

13. Limitation of liability

To the maximum extent permitted by law, Kiwa Intel and its personnel are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, data, or goodwill. Our total liability will not exceed the greater of what you paid for the Service in the preceding 12 months and CAD $100. Mandatory rights remain unaffected.

14. Indemnification

You agree to defend, indemnify, and hold Kiwa Intel and its personnel harmless from claims, damages, and reasonable legal expenses arising from unlawful or prohibited use, your content, or your infringement of third-party rights.

15. Changes to these Terms

We may update these Terms. We will give at least 14 days’ notice of material changes through the Service or by email. Continued use after the effective date means acceptance; otherwise, stop using the Service before the change takes effect.

16. Governing law and disputes

Ontario law and applicable Canadian federal law govern these Terms. Subject to mandatory consumer rights, disputes are within the exclusive jurisdiction of courts in Toronto, Ontario. This does not limit mandatory rights in your province, including rights under Quebec consumer-protection law.

17. Miscellaneous

These Terms, the Privacy Policy, and plan-specific checkout terms form the entire agreement. Unenforceable provisions are severed without affecting the rest. Failure to enforce is not a waiver. You may not assign these Terms without consent; we may assign them in a corporate transaction.
